By accessing and using the hypervexis website (hypervexis.top) and our gym lead conversion analytics services, you accept and agree to be bound by these Terms of Service. Service fees are charged according to the pricing plan you select. Payment is due in advance on a monthly or annual basis as specified in your service agreement. All fees are non-refundable except as expressly stated in your service agreement. We reserve the right to modify our pricing with 30 days' written notice.
Your privacy and data protection are important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which forms part of these Terms of Service. You are responsible for ensuring that any personal data you process through our platform complies with applicable data protection laws, including GDPR.
The hypervexis platform, including all software, content, trademarks, and other intellectual property, is owned by hypervexis Ltd and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use our services solely for your business purposes. You may not:
While we strive to maintain high service availability, we do not guarantee uninterrupted access to our platform. We may temporarily suspend services for maintenance, updates, or other operational reasons. We will provide reasonable notice of planned maintenance when possible.
To the maximum extent permitted by law, hypervexis Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services. Our total liability to you for all claims shall not exceed the amount paid by you for our services in the 12 months preceding the claim. This limitation applies regardless of the legal theory on which the claim is based.
You agree to indemnify, defend, and hold harmless hypervexis Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of our services, violation of these terms, or infringement of any third party rights.
These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of England and Wales. The parties agree to submit to the personal jurisdiction of such courts.
Either party may terminate the service agreement with 30 days' written notice. We may terminate your access immediately if you breach these terms or engage in prohibited activities. Upon termination, your right to use our services ceases immediately, and we may delete your data after a reasonable retention period. Sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination.
We reserve the right to modify these Terms of Service at any time. We will provide notice of material changes by posting updated terms on our website and notifying you via email. Your continued use of our services after such changes constitutes acceptance of the modified terms.
If any provision of these Terms of Service is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.
